2.1.  NFT ART FOR PERSONAL LICENSE.

In adherence to these Terms and during the period of your lawful ownership of a BadDog NFT, we provide you with a non-exclusive, non-sublicensable, worldwide, royalty-free license. This license allows you to use, reproduce, display, modify, and create derivative works of the Art associated with your BadDog NFT for your personal, non-commercial purposes. This includes, but is not limited to, printing and displaying the Art in your living space, using it as your profile image, or as an avatar in digital realms.

2.2.  NFT ART COMMERCIAL LICENSE FOR BADDOGS.

Commercial Use is defined as any lawful activity aimed at generating revenue, such as selling or transferring items (including NFTs) on marketplaces, creating and selling merchandise, or producing a comic book or video game featuring the Art. As long as you legally own a BadDog NFT and comply with these Terms, we grant you a non-exclusive, non-sublicensable, worldwide, royalty-free license to use, copy, reproduce, and display the Art associated with your BadDog NFT for any Commercial Use. However, this license restricts the inclusion of Art from multiple BadDog NFT in a single commercial work (like featuring multiple BadDogs in one comic book or movie), unless otherwise specified below.

If you possess multiple BadDog NFTs and plan to use their Art collectively in a commercial project, you must submit a BadDogs Crafted application for approval.



We will evaluate your application to ensure it aligns with the BadDogs brand vision. Approval of such applications is at our sole discretion. This Section 2.2 license does not allow the creation of derivative works of the Art, except as needed to adapt and represent the Art on goods or media created under this license, or as required in the section regarding Trademarks. However, it does permit you to create and mint new NFTs and projects based on the Art of your owned BadDog NFT. It is important to note that the use or display of the BadDogs Trademarks (or any closely resembling trademarks) on these new Digital Collectibles is not permitted.

2.3.  THIRD PARTY CONTENT IN BADDOGS NFT.

In our journey to innovate, we might partner with third parties to develop unique versions of BadDogs NFTs. These special editions may include artwork, images, or other creative elements, including logos, trademarks, service marks, or trade dress, that are the property of these third parties (referred to as Third Party Content). It's crucial to understandthat the licenses granted in Sections 2.1 and 2.2 of this document do not apply to Third Party Content featured in any BadDogs Art.

As a holder, you are not authorized to use, copy, reproduce, display, make derivative works of, or create new Digital Collectibles using this Third Party Content, or any part of it, unless we or the respective third parties give explicit permission. This permission must be in the form of a written consent or a public announcement made by us or the third-party owners. We aim to keep the integrity of our collaborations intact while respecting the rights of all involved parties.

2.4.  USAGE STANDARDS FOR BADDOGS ART.

At BadDogs, we're committed to fostering a community that's rooted in positivity and respect. We expect all BadDogs NFT holders to use their Art in ways that reflect these values.It's important to note that the Art associated with your BadDogsNFT must not be used in any manner that is misleading, harmful, intentionally divisive, or promotes negativity. This includes, but is not limited to, avoiding the use of the Art in contexts that encourage hatred, violence, substance abuse, products related to drugs and alcohol, gambling, adult themes, or any particular political or religious beliefs.

Our goal is to ensure that BadDogs NFTs are a source of joy and unity for all audiences, and we trust our community to uphold these standards in all their creative and commercial endeavors with the BadDogs Art.

2.5.  DERIVATIVE WORKS FOR BADDOGS ART.

At BadDogs, we appreciate the creativity of our community and understand you might want to create your own versions of the Art (referred to as NFT Art Derivatives) for your unique BadDogs NFT. This could include anything from expanding their image for use as an avatar in gaming to re imagining them in different artistic styles like pixel art.

You're welcome to create these NFT Art Derivatives under the licenses previously mentioned, with a few important conditions:

1. Your derivatives should not replicate or be overly similar to Art from other BadDogs NFTs that you do not own;
2. Avoid creating derivatives that others in the BadDogs community have already made;
3. Do not create derivatives that could be mistaken as officially produced, sold, or endorsed by BadDogs.

It's also crucial to recognize that:

1. We, at BadDogs, may develop our own NFT Art Derivatives in the future; and
2. other BadDogs NFT holders may also create derivatives of the Art linked to their own collectibles.

Your derivatives might end up being similar or identical to these. Therefore, you agree not to pursue any legal action against BadDogs or its affiliates, licensees, employees, or other BadDogs NFT holders for the use of any Art or derivatives they create, even if they resemble your own creations.

This commitment is a part of what makes the BadDogs community collaborative and innovative. Accordingly, on behalf of yourself and your heirs, successors and assigns, you irrevocably covenant and agree not to assert or bring any suit, claim, demand or challenge against:

1. Creator or its affiliates or licensees (or any of their employees, partners, members, officers, directors, and stockholders) in connection with their use of any Art or any of their own Digital Collectible Art Derivatives; or
2. any other BadDogs NFT Collectible holder or its affiliates or licensees (or any of their employees, partners, members, officers, directors, and stockholders) in connection with use of Art relating to their own BadDogs Digital Collectibles or any of their own Digital Collectible Art Derivatives.

The foregoing is the case even if such Art or Digital Collectible Art Derivatives is similar to, or the same as, any Digital Collectible Art Derivatives that have been created by you.

3.1.  TRANSFER CONDITIONS.

The rights and licenses granted under these Terms for BadDogs NFT are exclusive to you and cannot be transferred. If you decide to sell, give away, or otherwise relinquish your BadDogs NFT, you will forfeit the associated licenses in the Art. In any transaction involving BadDogs NFT, including sales, transfers, or migrations across blockchains (as authorized by us), the new owner implicitly agrees to these Terms by accepting the NFT.

Please note that you cannot transfer a BadDogs NFT to anyone in a country under U.S. Government embargo, identified as supporting terrorism by the U.S. Government, or listed on any U.S. Government list of prohibited or restricted parties. Additionally, if a BadDogs NFT is divided into smaller fractional interests (represented by different tokens or inscriptions), the licensed rights do not extend to each fractional owner. These rights are reserved solely for the individual who owns the complete set of fractional interests in a single BadDogs NFT.

3.2.  MIGRATIONS AND BRIDGING OPTIONS FOR BADDOGS.

Should we provide the option for migrating or bridging your BadDogs NFT to a different blockchain, resulting in a new version of your BadDogs NFT, and you choose to proceed with this option, rest assured that all licenses linked to your original BadDogs NFT will seamlessly transfer and remain valid for the new blockchain version of your collectible. Conversely, if you opt not to participate in the Migration or Bridging process, your current license and rights associated with the original Art of your BadDogs NFT will continue unaffected.

4.1.  BADDOGS TRADEMARKS.

The term "BadDogs Trademarks" encompasses all logos, trademarks, word marks, service marks, and trade dress associated with BadDogs, BadDogsCompany.com, our team, or any other names and characters related to BadDogs products or services developed byus. This includes the name "BadDogs" and any phrases uniquely associated with our brand. It's important to note that these Terms do not grant you any rights to use the BadDogs Trademarks for any purpose, personal or otherwise. Usage of the BadDogs Trademarks, or any variations thereof that could cause confusion, is strictly prohibited in your projects. This includes modifying any Art linked to your BadDogs NFT to remove or obscure BadDogs Trademarks before usage. However, phrases not explicitly trademarked by BadDogs, such as community-oriented slogans, may be used freely.

4.2.  RESERVATION OF RIGHTS.

All rights to the Art and any other intellectual properties related to BadDogs that are not explicitly licensed in this document remain the sole property of the Creator. Any goodwill generated from the use of the BadDogs Trademark benefits solely the Creator and its affiliates. It is prohibited to remove, obscure, or alter any trademark notice, copyright notice, or other intellectual property notices on any BadDogs NFT or associated Art. We reserve the right to revoke any licenses.

4.3.  BLOCKCHAIN FORKS.

Given the open-source nature of public blockchains, there's a possibility of forks, merges, or duplications in the underlying blockchain that records the ownership of your BadDogs NFT. In such cases, if duplication leads to multiple instances of the same BadDogs NFT, the rights outlined in these Terms will be recognized only for the lawful owners whose ownership is recorded on the blockchain version acknowledged as legitimate or the official successor, as determined at our sole discretion.

5.1.  DISCLAIMERS.

The value of BadDogs NFT is subjective and inherently volatile, with no intrinsic value. By using BadDogs NFT and associated Art, you acknowledge and accept all associated risks. Except as explicitly stated in this document, to the fullest extent allowed by applicable law, the Creator, including its parent companies, affiliates, related entities, directors, officers, employees, agents, representatives, partners, and licensors (collectively,the "Creator Entities"), disclaims all warranties and conditions, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement related to the BadDogs NFT and Art. The Creator Entities provide no assurances and accept no responsibility or liability for:

1. The completeness, accuracy, availability, timeliness, authenticity, security, or reliability of BadDogs NFT and Art;
2. The compatibility or operation with any other applications, systems, devices, blockchains, digital wallets, hardware, or marketplaces;
3. Whether the BadDogs NFT and Art will meet your needs, or be available without interruptions, securely or without errors; and
4. The potential deletion, failure to store, or transmit the BadDogs NFT and Art.

BadDogs NFT are intended solely for consumer enjoyment, use, and consumption.

5.2.  LIMITATIONS OF LIABILITY.

Under the full extent of the law, you acknowledge and agree that the Creator Entities will not be liable for any indirect, special, exemplary, incidental, consequential, or punitive damages. This includes, but is not limited to, damages for lost profits, data, use, or other intangible losses, even if the Creator Entities have been advised of the possibility of such damages, arising from your use or inability to use the BadDogs NFT. This applies to all claims under any theory of liability, whether in contract, strict liability, or tort (including negligence or otherwise), in connection with the BadDogs NFT or Art, or these terms. Additionally, the total liability of the Creator Entities for any claims under these terms, including for any implied warranties, is limited to the lesser of $1,000 or the amount you paid for your BadDogs NFT. Please note, some jurisdictions do not allow limitations on how long an implied warranty lasts or the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you.

5.3.  INDEMNIFICATION.

Upon agreeing to these Terms and utilizing the BadDogs NFT or Art, you commit to defend, indemnify, and hold harmless the Creator Entities from any claims, costs, damages, losses, liabilities, and expenses, including legal fees, arising from: (i) any breach of these Terms or violation of applicable laws or regulations by you; (ii) infringement of third-party rights due to your actions; (iii) your use of the BadDogs NFT or Art; (iv) any NFT Art Derivatives you create; or (v) any fraudulent, negligent, or willful misconduct by you.

6.1.  ADDITIONAL FEATURES.

The Creator may opt to offer extra features, access, content, items, or other advantages to BadDogs NFT owners (Additional Features). However, the Creator is not obligated to provide any Additional Features, and holders should not anticipate them when acquiring a BadDogs NFT. These Additional Features, if offered, may come with separate terms and conditions, which will be provided to you when they become available.

6.2.  REVISION OF TERMS.

At BadDogs, we may update these Terms occasionally. In the caseof significant changes, we'll do our best to inform you, like posting a noticeable announcement on our website's homepage. However, it's your responsibility to regularly check these Terms for any updates. By continuing to access or use BadDogs NFT or Art after these Terms have been revised, you are acknowledging and accepting the updated Terms.

6.3.  TERMINATION OF LICENSE.

If you significantly violate any part of these Terms or the Terms of Service and Sale on BadDogsCompany.com, the licensesyou've received from us will automatically end. If your licenses are revoked, you must immediately stop all marketing, distribution, or sales of products, services, and media featuring the Art. You also must stop using and displaying the Art (this includes any NFT Art Derivatives), and any sublicenses you've given for the Art will end too. Certain sections of these Terms will still apply even after they are terminated by eitherBadDogs or yourself. Remember, ending these Terms doesn't affect any other legal rights or solutions BadDogs may have.

6.4.  MISCELLANEOUS.

Should any part of these Terms be found illegal, void, or unenforceable for any reason, that section will be considered separate from the rest, not affecting the validity or enforceability of the remaining provisions. We, BadDogs, can freely transfer these Terms and the associated licenses, but you can't transfer them without our explicit written consent. Any transfer attempts by you that contradict these Terms are invalid. Also, if either of us doesn't enforce a breach or default, it doesn't mean we waive any future breaches or defaults. Finally, by agreeing to these Terms, you confirm that you have the legal right and capacity to do so.
